  Corporate Governance in Japan

Speaker Professor Minako Homma, Kurume University; Visiting Scholar, Asian Law Centre, Faculty of Law, University of Melbourne.

Minako Homma has been an associate professor of law at Kurume University in Japan since 1999. Minako is a specialist in company law and holds the degrees of B.A. in law (1993) and LL.M. (1995) from Waseda University. She is currently a visiting scholar at the Asian Law Centre and is undertaking research into Australian company law. She will be a visiting scholar at the Institute of Advanced Legal Studies, the University of London from June 2002, where she will be conducting research into English company law reform and the chartered directors system of the Institute of Directors.

Minako’s publications include a series of monographs on English company law: The Administrative Structure of Companies Limited by Shares in English Law, The Study of the Cadbury Report and A Company’s Auditor in English Law (1) (2).
Description Corporate governance has been a matter of contention in many countries in 1990s and 2000s. In recent discussions on corporate governance, not only sound and fair management, but also efficient management have tended to be emphasised. For these reasons, amendments have been made to the Commercial Code and the Audit Special Exceptions Law in Japan in 2002. In this seminar, after explaining the history and the existing system of Japanese corporate governance in brief, the company law reform on corporate governance in 2002 will be analysed.
