The two recent James Hardie judgments in which the High Court found that seven non-executive directors and the general counsel/company secretary failed in their duties when the directors approved the company’s release of a misleading announcement to the ASX have many important lessons for directors, executives and their advisors.
An article on the front page of the Australian Financial Review the day following the judgments was titled “Hardie ruling raises bar for directors” and the editorial in the same paper was titled “Directors should heed court decision”. An editorial in the Sydney Morning Herald about the judgments was titled “Accountability in the boardroom”. Other articles were titled “Court sends message to boards” (the Age), “Court’s Hardie ruling is a key win for ASIC” (The Australian) and “Ruling threatens boards’ talent pool” (The Australian Financial Review).
Some of the many issues raised in the two judgments include:
· The standard of care expected of non-executive directors and executives following the judgments.
· The importance of accurate minutes (a key issue for the High court in overturning the NSW Court of Appeal was the minutes of the board meeting of the James Hardie directors)
· The definition of “officer” and the consequences in terms of the duties that apply to an officer.
· The responsibilities of a general counsel and company secretary.
· ASIC’s obligation to act fairly when conducting litigation.
The seminar will explore these and other issues arising from these important judgments.
